Terms of Service

These Terms of Service govern your use of the Chikoh platform, which is owned and operated by Sidekick Intelligence LLC, doing business as "Chikoh" ("we," "our," or "us"). References to "Chikoh" throughout this document refer to Sidekick Intelligence LLC.

1. Acceptance of Terms

By accessing and using Chikoh ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those modifications.

2. Description of Service

Chikoh is a companion platform that provides AI-powered recommendations and insights for fantasy sports leagues and reality TV entertainment. The Service acts as a second-screen experience. For most platforms, Chikoh provides recommendations with deep links and instructions for you to execute manually. For Yahoo Fantasy, Chikoh optionally supports direct execution of roster changes on your behalf if you explicitly opt in (see Section 7A).

Chikoh covers the following sports and entertainment verticals: NFL, NBA, MLB, NHL, Soccer (global), F1, Golf, College Football, College Basketball, and TV/Entertainment (reality shows, awards ceremonies, and competition shows).

3. Eligibility and Age Requirements

You must be at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is greater) to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement. Users under 13 are prohibited from using the Service in any capacity.

Access to certain features (including gambling-adjacent analytics tools) may require additional age verification in specific jurisdictions. See our Jurisdiction Restrictions page for details.

4. User Accounts

To access certain features of the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your account information is accurate and up-to-date

You may not share your account credentials with others, create multiple accounts for the same person, or transfer your account to another individual without our prior written consent.

5. Subscription and Billing

Chikoh offers both free and paid subscription tiers. By subscribing to a paid tier, you agree to:

  • Pay all fees associated with your chosen subscription plan
  • Automatic renewal of your subscription unless cancelled
  • Our 7-day free trial policy for new paid subscriptions
  • Billing cycles (monthly, 6-month, or annual) as selected

Our current subscription tiers (Bleachers, Essentials, Field Level, Owner's Suite) and pricing are described on our Pricing page. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

5A. Agentic Commerce and Execution Billing

Chikoh offers automated and user-triggered execution capabilities ("Agentic Commerce"), including AI-initiated simulations, premium analytics, and third-party data/tool execution. By enabling execution billing preferences, you authorize Sidekick Intelligence LLC to charge eligible execution costs using your selected payment rail.

  • Agentic Commerce means execution requests initiated by you, your configured automations, or authorized agents on your behalf.
  • Metered Passthrough Costs means third-party execution/data costs incurred while fulfilling a request (including x402-style paid endpoints).
  • Compute Overages means charges incurred after included quota, credits, or usage allowances are exhausted.

If you select Stripe or PayPal as your primary execution rail, you expressly authorize Sidekick Intelligence LLC to aggregate eligible micro-charges and bill them at the end of your billing cycle (or sooner at an internal threshold, if applicable). Chikoh provides itemized execution detail through billing metadata and invoice descriptors.

Execution billing preferences are account-level controls. You are responsible for the actions of authorized users, API keys, and connected agents operating under your account context.

5B. Tickets and Credits

Chikoh uses a ticket system as universal currency for premium tools and simulations. Tickets are consumable digital goods. Tickets never expire and may be transferred to other Chikoh users. Once used, tickets are non-refundable. Unused tickets may be refunded within 14 days of purchase. Ticket purchases, auto-reload, gifting, and transfer terms are governed by our Refund Policy.

6. Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. Refunds are subject to our Refund Policy, which governs refund windows, mid-cycle changes, account credits, and non-refundable items.

7. AI-Generated Content

The Service uses artificial intelligence to generate recommendations and insights. While we strive for accuracy:

  • AI recommendations are for informational purposes only
  • We do not guarantee the accuracy or success of any recommendations
  • Users are responsible for their own decisions based on AI insights
  • AI-generated content should not be considered professional advice
  • Past performance data and projections do not guarantee future results

8. Third-Party Platforms

Chikoh integrates with third-party fantasy sports platforms (ESPN, Yahoo, Sleeper, CBS, Fantrax, MFL, FanDuel, DraftKings, and others). You acknowledge that:

  • We are not affiliated with these third-party platforms
  • We do not control or guarantee the availability of third-party services
  • You must comply with the terms of service of any connected platforms
  • We are not responsible for changes or disruptions to third-party services
  • Third-party platform data is used under their respective API terms and licenses

8A. Platform Write Access (Yahoo Fantasy)

Chikoh offers an optional feature that allows the Service to execute roster changes directly on your Yahoo Fantasy account on your behalf ("Platform Write Access"). This feature is available exclusively for Yahoo Fantasy leagues connected via OAuth and requires your explicit, per-action opt-in consent. By enabling and using Platform Write Access, you acknowledge and agree to the following:

  • Explicit Consent Required: Platform Write Access is disabled by default. You must affirmatively opt in through your account settings, and you must confirm each individual execution by checking the consent box before any action is submitted to Yahoo on your behalf.
  • User Verification Responsibility: After any action is executed via Platform Write Access, you are solely responsible for verifying your Yahoo Fantasy roster to confirm that the changes were applied correctly. Chikoh does not guarantee that Yahoo will accept, process, or correctly apply any submitted change.
  • No Liability for Outcomes: Sidekick Intelligence LLC shall not be liable for any negative consequences resulting from actions executed via Platform Write Access, including but not limited to: adverse effects on league standings, matchup outcomes, playoff positioning, draft position, waiver priority, trade value, or any other competitive impact within your fantasy league.
  • No Liability for Monetary Loss: Sidekick Intelligence LLC shall not be liable for any monetary or financial loss resulting from Platform Write Access, including but not limited to: entry fees, prize pools, side bets, FAAB budget expenditures, or any other financial stake associated with your fantasy league.
  • Platform API Limitations: Platform Write Access depends on Yahoo's third-party API, which may experience downtime, rate limiting, errors, or breaking changes outside our control. Chikoh does not guarantee uninterrupted availability of write operations.
  • Revocation: You may revoke Platform Write Access at any time through your account settings or by disconnecting your Yahoo Fantasy account. Revocation takes effect immediately for all future actions.

For platforms other than Yahoo (Sleeper, ESPN, MFL, CBS, Fantrax, FPL, etc.), Chikoh does not execute changes directly. Instead, the Service provides a "cheat sheet" with step-by-step instructions, deep links, and pre-formatted text to help you execute recommended actions manually on your platform.

9. MCP and Agent Access

Chikoh provides a Model Context Protocol (MCP) interface and API that allows external AI agents and developer applications to access our tools and intelligence. By using or connecting to Chikoh through MCP, API keys, or third-party AI platforms (Claude, ChatGPT, Gemini, Cursor, etc.), you agree to the following additional terms:

  • API Key Responsibility: You are responsible for all activity conducted using your API keys. Do not share your API keys with unauthorized parties. Compromised keys should be rotated immediately.
  • Rate Limits: API and MCP access is subject to rate limits based on your subscription tier. Exceeding rate limits may result in throttling or temporary suspension.
  • Acceptable Use: Automated access must comply with our acceptable use policy. Scraping, reverse engineering, and unauthorized redistribution of data are prohibited.
  • Agent Accountability: If you configure AI agents to act on your behalf through our MCP interface, you are responsible for all actions those agents take, including ticket consumption and execution billing.

10. Syndicate and Squad Features

Chikoh offers collaborative features ("Squads") that allow users to form groups, share analysis, vote on decisions, and participate in leaderboards. By participating in Squads, you agree to:

  • Abide by our community guidelines and code of conduct
  • Not use Squads to harass, bully, or abuse other users
  • Not share illegal content, spam, or misleading information
  • Accept that Squad leaderboards and rankings are based on our scoring algorithms and are provided for entertainment purposes

11. Gambling Tools Disclaimer

Certain tools on the Chikoh platform (line movement analysis, DFS lineup optimization, sharp money indicators, pick'em recommendations, and related analytics) are designed to inform decisions related to sports betting and daily fantasy sports. These tools are gated behind a sports whitelist for regulatory compliance. By accessing these tools, you acknowledge:

  • Chikoh does not operate a sportsbook, accept wagers, or facilitate gambling of any kind.
  • Our analytics are informational tools, not guarantees of outcomes. No projection, recommendation, or analysis should be interpreted as a promise of profit.
  • You are solely responsible for complying with all applicable gambling laws in your jurisdiction.
  • You must be of legal age to engage in sports betting or DFS in your jurisdiction.

12. User Conduct

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Infringe on the intellectual property rights of others
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to the Service
  • Harass, abuse, or harm other users
  • Use automated systems to access the Service without permission
  • Circumvent, disable, or interfere with security features
  • Impersonate any person or entity
  • Use the Service to compile data for competing products or services

13. Intellectual Property

All content, features, and functionality of the Service are owned by Sidekick Intelligence LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

The Chikoh name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Sidekick Intelligence LLC. You must not use such marks without our prior written permission.

14. Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content on our platform infringes your copyright, please refer to our DMCA & Copyright Policy for instructions on submitting a takedown notice.

15. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding your personal information.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEKICK INTELLIGENCE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

18. Indemnification

You agree to indemnify, defend, and hold harmless Sidekick Intelligence LLC and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.

19. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. Arbitration shall take place in Cheyenne, Wyoming, or at another mutually agreed location. The arbitrator's decision shall be final and binding.

Informal Resolution First: Before initiating arbitration, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Small Claims Exception: Either party may bring qualifying claims in small claims court in lieu of arbitration.

20. Class Action Waiver

YOU AND SIDEKICK INTELLIGENCE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate or join more than one person's claims and may not preside over any form of representative or class proceeding.

21. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service at least 30 days before changes take effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

22. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account data after a reasonable retention period
  • Any unused tickets or credits are forfeited
  • Provisions that by their nature should survive termination will survive (including Sections 13, 16, 17, 18, 19, 20, and 23)

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. To the extent that arbitration is not required under Section 19, any litigation shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming.

24. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

25. Force Majeure

Sidekick Intelligence LLC shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, war, terrorism, pandemics, power failures, internet disruptions, third-party service outages, or cyberattacks.

26. Entire Agreement and Contact

These Terms, together with our Privacy Policy, Refund Policy, and any other legal documents referenced herein, constitute the entire agreement between you and Sidekick Intelligence LLC regarding the Service and supersede all prior agreements and understandings.
